Partner Service Agreement

AVAILING THE SERVICE OFFERED BY WEBSITE TOUROFFICER.COM SHALL MEAN THAT THE PARTNER AGREES WITH THE FOLLOWING TERMS AND CONDITIONS MENTIONED AS UNDER IN THE PARTNER AGREEMENT

This Partner Service Agreement (hereinafter referred to as the "Agreement") is entered between the "Partner" (You or the entity you are representing) and Tourofficer.com, (hereinafter referred to as "Tourofficer"), a website owned by Tourofficer.com, Gurgaon, Haryana, India.

The Agreement shall put forward the terms and condition that shall govern all the online activities carried out by the Partner while using the services and technology provided by Tourofficer.com for the term of their association with tourofficer.com.

Definitions
Partner:
Person, travel agencies or any entity who desires to sell holiday packages, hotels or any other travel related services via tourofficer.com to customers.

Customer:
Customer shall mean any individual, group of individuals, firm, company or any other entity placing an order for the travel services at tourofficer.com

E-tickets:
E-tickets are electronic/digital form of tickets which need to be printed by customer before starting the journey. They are generally in pdf format and require an Adobe Acrobat Reader in computer to read and print them. However, They may be in some other computer readable format as well.

Commission:
Commission means the amount tourofficer charges from partner for selling of services on tourofficer.com.

Scope of our service:
Through the website, tourofficer.com provides an online platform through which all types of travel services providers like travel agents, hotels, cab drivers, airlines or any other establishment who provide travel or tourism related service can advertise and sell their service for reservation of hotel rooms, holiday packages or all travel related services. By making a reservation, Customer establish a direct contractual relationship with partner. At the point, Customer makes a payment for his reservations, tourofficer works as an intermediary to transmit the reservation details in the form of e-tickets and it is the Partner's responsibility to fulfill the orders and provide correct reservation details and e-tickets.

When rendering our services,the information that we disclose is based on the information provided to us by partners. Therefore, Partners are solely responsible to display pricing, features, facilities and are required to maintain inventory.

Inventory Management
By Inventory, we mean the availability of hotels, flights, cabs, taxi, buses or any such arrangement for travel related services at a particular time on a particular date at the mentioned price along with the facilities mentioned on a particular service. Partner is required to maintain inventory on our website tourofficer.com by login to his account with password secured details.

Charges
15% commission is charged on the "total cost of service" + Service tax on commission as applicable by Govt. of India.

Cancellation of Services
1. In the event of cancellation by the partner, he is abide to pay the loss to buyer as per cancellation terms.
2. If Travel agent cancels more than 5 holiday packages in a month, His account will be canceled and he will be liable to pay Rs.25000 as penalty over and above cancellation fee as per cancellation terms.
3. In case customer cancels the order after making full payment, Partner will be paid as per cancellation terms after deducting our commission. No other payment can be claimed from tourofficer by Partner.
4. In case customer cancels order after part payment, No payment will be issued to partner as Partners are advised to fulfill order only upon 100% payment made by customer.

Unavailability of Services
1. If Customer has hotel reservation, In case of unavailability of hotel, it is Partner's responsibility to arrange an equivalent or higher facility hotel for the customer.
2. In case of holiday package with By Air as mode of traveling, Partner has to arrange another flight with same class as prescribed in the details of holiday package if flight for the mentioned airlines is not arranged.
3. In case of car as mode of travel, Partner has to arrange car with equal or better facilities and comfort for traveling.

Delivery of Orders
Travel agent needs to upload all e-tickets in a single pdf file to complete the order. Travel agent has to deliver order only upon 100% payment made. However, we advise him to make provisions once order is arrived and a minimum of 10% as part payment is made to tourofficer.com. However he will be issued payment only upon 100% payment is received as per payment terms mentioned in this agreement.

Payment Terms
Payment will be issued after 15 days of the 100% payment received by tourofficer.com or after delivery of orders to the customer whichever occurs later.

Miscellaneous
Arbitration:
If Parties fails in endeavor to settle amicably by mutual discussion any disputes, differences or claims whatsoever related to this agreement. Failing such amicable settlement the dispute shall be settled by arbitration. The Arbitration and Conciliation Act 1996 shall govern the arbitration proceedings. The arbitration shall be held in Gurgaon, Haryana. The language of arbitration shall be English and the arbitral award shall be final and binding on both the parties. The arbitration proceedings will be held before the sole Arbitrator appointed by Tourofficer. Any arbitration award will be final and binding on the parties and the Award shall include allocation of the cost of the Arbitration proceedings Moreover judgment there on may be entered in any court of competent jurisdiction. This agreement (including its jurisdiction clause) shall be governed by, construed and take effect in accordance with the laws of India. The courts of Gurgaon, Haryana shall alone have jurisdiction in all matters.

THE SERVICES PROVIDED TO PARTNER AND TO CUSTOMER ARE AS IT IS AND WITHOUT ANY WARRANTY OR GUARANTEE. IN CASE OF WEBSITE'S MAINTENANCE OR DOWNTIME DUE TO ANY REASON, TOUROFFICER IS NOT RESPONSIBLE TO PAY ANYTHING TO PARTNER FOR ANY LOSSES OCCURED DUE TO UNAVAILABILITY OF WEBSITE.
